These Website Terms of Use (“Terms“) govern your access to and use of this website and the online trade portal (“the Site“) operated by TQB Brands Pty Ltd (ABN 20 932 104 369) (“TQB Brands“, “we”, “us”, “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

About us & these Terms

The Site is operated by TQB Brands Pty Ltd, an Australian supplier of workshop and automotive equipment, including the TradeQuip, Borum, TQ Pro, Eagle Pro, eQuipt and Workshop Mate brands. These Terms apply to all visitors and to holders of a trade (portal) account. Additional terms may apply to specific services or programs (for example, our Priced Product Guide program); where they do, those terms apply in addition to these Terms.

Who may use the Site

The Site is intended for trade customers, resellers and business users in Australia. Public browsing of general product information is open to all, but ordering and portal features are available only to approved trade-account holders. By using the Site you confirm that you are using it for business purposes and that you are authorised to do so.

Accounts & portal access

• Trade accounts are granted at our discretion. Applying for access does not guarantee an account; we review every request and may approve or decline it.
• You must provide accurate, current and complete information when applying for and maintaining an account.
• You are responsible for keeping your login credentials secure and confidential, and for all activity that occurs under your account.
• You must notify us promptly if you believe your account has been accessed without authorisation.
• Accounts are for use by the account holder and its authorised personnel only, and must not be shared with, or transferred to, any other business.
• We may suspend, restrict or terminate access to any account at our discretion, including where these Terms are breached (see Suspension & termination).

Confidentiality of pricing & portal content

Pricing (including trade pricing and price levels), quotes, priced product guides, pre-order catalogues, program materials and other non-public information made available to you through the trade portal are confidential. As a condition of access, you agree that you will:

• use this information only for your own legitimate business dealings with TQB Brands;
• not disclose, publish, on-sell, or share it with any third party or competitor; and
• not extract, copy or compile it other than as reasonably required for that purpose.

This obligation continues even after your account is closed.

Acceptable use

You must not:

• use the Site for any unlawful, misleading, or fraudulent purpose, or in breach of these Terms;
• attempt to gain unauthorised access to any part of the Site, other accounts, or our systems, or interfere with the Site’s security or operation;
• use any automated means (such as scraping, crawling or harvesting) to access, monitor or copy the Site or its content without our written permission;
• introduce any virus, malware or harmful code, or upload content that is unlawful, infringing, or malicious;
• reproduce, resell, or commercially exploit the Site or its content except as expressly permitted; or
• use the Site in any way that could damage, disable or impair it, or interfere with any other party’s use of it.

Content you provide

Where the Site lets you submit information or upload files (for example, enquiry and request forms, artwork and logo files, or public stockist listings), you are responsible for that content and you warrant that:

• you own it or have the necessary rights and permissions to provide it and to have us use it for the intended purpose;
• it does not infringe any third party’s rights (including intellectual property rights) or any law; and
• it contains no malicious or harmful code.

You grant us a non-exclusive licence to store, reproduce and use the content you submit for the purpose of providing the relevant service to you (for example, preparing your marketing materials or publishing a stockist listing at your direction). We may remove or decline to use any content at our discretion.

Intellectual property

All content on the Site — including text, product information, images, logos, brand names, catalogues, guides, documents and the design of the Site — is owned by or licensed to TQB Brands and is protected by law. You are granted a limited, non-exclusive, non-transferable licence to access and view the Site, and to download materials we make available to you (such as product guides and resources) solely for your legitimate business use in connection with our products. Except as permitted by law or with our written consent, you must not copy, reproduce, modify, distribute, or create derivative works from any Site content. Brand names and trade marks (including TradeQuip, Borum, TQ Pro, Eagle Pro, eQuipt and Workshop Mate) must not be used except as authorised by us.

Product information & availability

We provide product information in good faith and take reasonable care to keep it accurate. However, specifications, images, descriptions, weights and dimensions are indicative only and may change without notice; images may not depict the exact product supplied. Product information is general in nature and is not advice — you should confirm a product’s suitability for your intended use before purchasing. Product availability, pricing and range may change at any time, and we may correct any errors or omissions.

Orders & pricing

Where you place an order through the trade portal, that order is an offer to purchase and is subject to acceptance by us and to stock availability. Prices shown to trade-account holders are exclusive of GST unless stated otherwise and may be varied in accordance with your trading arrangements. This website does not process online card payments; orders are handled on your trade account. Any separate trading, credit or account terms agreed with you apply to your purchases in addition to these Terms and prevail to the extent of any inconsistency about the supply of goods.

Your consumer rights (ACL)

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you may have under the Australian Consumer Law (ACL) or other laws that cannot lawfully be excluded. Our goods come with guarantees that cannot be excluded under the ACL. For information about faulty products, repairs, replacements and refunds, please see our Warranty page. We handle returns and refunds in accordance with the ACL; general guidance is available from the ACCC at accc.gov.au.

Site availability

We aim to keep the Site available and working, but we do not guarantee that it will be uninterrupted, error-free or secure. The Site may be unavailable from time to time for maintenance, updates or reasons beyond our control. We may change, suspend or withdraw all or part of the Site at any time without notice.

Third-party links & services

The Site may link to, or rely on, third-party websites and services (for example, mapping, safety-recall listings, external asset libraries, or stockist websites). We do not control and are not responsible for third-party sites or services, and a link does not imply our endorsement. Your use of them is at your own risk and subject to their own terms.

Disclaimers & liability

To the maximum extent permitted by law, the Site and its content are provided “as is” and “as available”, and we exclude all warranties, representations and guarantees not expressly set out in these Terms. To the maximum extent permitted by law, we (and our directors, employees and related parties) are not liable for any indirect, incidental, special or consequential loss, or any loss of profit, revenue, data or goodwill, arising out of or in connection with your use of the Site. Where our liability cannot be excluded but can be limited, our liability is limited, at our option, to re-supplying the relevant service or paying the cost of having it re-supplied. Nothing in this clause limits any rights you have under the ACL that cannot be excluded (see Your consumer rights).

Indemnity

You agree to indemnify us against any loss, damage, cost or expense we suffer or incur arising from your breach of these Terms, your misuse of the Site, or your infringement of any law or third-party right, except to the extent caused by us.

Suspension & termination

We may suspend, restrict or terminate your access to the Site or your account at any time, with or without notice, including where we reasonably believe you have breached these Terms or the confidentiality obligations above, or where required to protect the Site or other users. On termination, the licences granted to you end, but any provisions that by their nature should survive (including confidentiality, intellectual property, indemnity and liability) will continue to apply.

Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of your use of the Site.

Changes to these Terms

We may update these Terms from time to time. The current version will always be posted on this page with a revised “Last updated” date, and your continued use of the Site after any change means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Victoria, Australia. You submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them.
